PrepStack Terms of Use
Last updated: 13 October 2026 (draft)
1. Who we are and what these Terms cover
PrepStack is the company-wide brand for products and services operated by PrepStak Technologies Limited, the legal operator name confirmed by PrepStack and matching the PrepIQ materials. Current product terms report incorporation in Uganda under registration number 80042719963846; verify the jurisdiction, registration details and official address in company records before publication. In these Terms, “PrepStack,” “PrepStak,” “we,” “us” and “our” refer to the company, unless a product-specific term identifies a different contracting party.
These Terms provide common rules for the PrepStack corporate website and for general access to services operated by PrepStack. The products currently covered are PrepOrder and PrepIQ. A future product will be covered by these Terms only when we identify it as covered and provide any product-specific terms needed for its service.
Different products serve different users and have different responsibilities. Their product-specific terms supplement these Terms and govern product-specific matters. In particular:
- PrepOrder: the PrepOrder Terms of Service explain the customer ordering relationship, restaurant's role as food seller, orders, payments and order issues. Restaurant participation and commercial matters are addressed in the separate Restaurant Terms and applicable commercial agreements.
- PrepIQ: the PrepIQ Terms of Service apply to organizations and the people they authorize to use the business service. A subscription offer, written service agreement or data processing agreement may add terms for a particular customer or processing activity.
If a product-specific term or signed agreement expressly addresses a subject differently from these common Terms, it controls for that product and subject. A product-specific term does not change the rules for a different product unless it says so.
The PrepStack Privacy Policy and Cookie Policy explain how information and device technologies are handled. They do not replace these Terms or grant permissions that are not stated here or in an applicable product agreement.
2. Accepting the Terms
These Terms apply when they are presented as the terms for a PrepStack website or service. A product may ask you to accept its terms when you create an account, accept an invitation, connect an integration, subscribe or place an order. When an acceptance step is shown, you should be able to review the applicable terms before confirming. Selecting “Accept,” checking an acceptance box or taking another clearly identified acceptance action means you agree to the terms presented for that service, to the extent permitted by law.
If you do not agree, do not accept the Terms or continue using the affected service. Mandatory legal rights continue to apply even if these Terms say otherwise.
3. Eligibility and authority
You may use a service only if you can lawfully agree to its terms and use it for its intended purpose. Product-specific age and eligibility rules may apply. If you use a service for a company, restaurant or other organization, you confirm that you are authorized to accept the applicable terms and act for that organization. If you are not authorized, you must not accept on its behalf.
An organization is responsible for the people it invites to its account, the permissions it gives them, and removing access when it is no longer needed. Each person must use the service in accordance with their assigned access and the applicable product terms.
4. Accounts and account security
Provide accurate, current information when a service requires an account, and update it when it changes. Keep passwords, verification codes, access tokens and other sign-in details confidential. Do not share credentials or let another person use your account except through an account-sharing or team-access feature the service provides.
You are responsible for activity under your account, except to the extent an incident results from PrepStack's failure to meet an obligation under applicable law or an applicable agreement. Tell us promptly if you suspect unauthorised access or account misuse. We may ask you to verify your identity or authority before changing account details, enabling access or responding to a request.
5. Using the services responsibly
You may use the services only for lawful purposes and as permitted by these Terms and the applicable product terms. You must not:
- break the law, infringe another person's rights, or use a service to deceive, harass, threaten or harm someone;
- access another person's account, data, device or workspace without permission, or attempt to bypass permissions or security controls;
- interfere with, overload, disrupt or probe a service or its infrastructure without written authorization;
- upload malware, harmful code, fraudulent material or content you do not have the right to use;
- copy, reverse engineer, decompile or create a competing product from a service, except to the extent a restriction is prohibited by applicable law;
- scrape, harvest or collect information through automated means except through a documented feature or written authorization; or
- misuse payment, ordering, messaging, integration or other service features.
Product terms may add rules needed for a specific product or customer relationship.
6. Content and information you provide
You retain any rights you hold in text, images, prompts, files, operational information and other content you submit to a service (“your content”). You are responsible for having the rights and permissions needed to submit it and for ensuring that it does not violate law or another person's rights.
You give PrepStack a limited, non-exclusive permission to host, store, copy, transmit, display, format and process your content only as reasonably needed to provide, secure, maintain and support the service and as described in the applicable product terms and Privacy Policy. A product-specific agreement may describe additional processing needed to operate or improve that product. This permission does not transfer ownership of your content to PrepStack.
You may also send ideas or suggestions. We may use general feedback to improve our services without owing you compensation, but this does not grant us rights to confidential information or your content beyond the permission above.
7. PrepStack's technology and intellectual property
PrepStack and its licensors own or license the services, software, interfaces, designs, documentation, names, logos and other materials we provide. These Terms give you only a limited, non-exclusive, non-transferable and revocable permission to use the applicable service for its intended purpose, subject to these Terms and any product-specific agreement. They do not transfer ownership or other intellectual-property rights to you.
You may not use PrepStack names, logos or branding in a way that suggests endorsement, affiliation or permission we have not given. These Terms do not restrict rights that applicable law gives you, including any rights to content you provide.
8. AI features and automated outputs
Some services may provide AI-assisted search, summaries, recommendations, forecasts, analyses or suggested actions. These outputs are generated from the information available to the service and may be inaccurate, incomplete, delayed or unsuitable for your particular situation. They are provided as decision-support tools, not as a guarantee or as professional legal, financial, accounting, medical or food-safety advice.
Review important outputs against reliable information and your own judgment before acting. Product-specific terms explain material product risks. For example, PrepOrder AI suggestions do not guarantee ingredient or allergen safety, food suitability or restaurant availability. PrepIQ forecasts and operational recommendations do not guarantee business results. You and your organization remain responsible for decisions you make using an output.
9. Third-party services and integrations
Some features rely on or connect to services operated by third parties, such as payment providers, identity services, point-of-sale systems, hosting providers, notification channels or AI services. Those third parties may have their own terms, privacy notices, fees and availability conditions. PrepStack does not control every part of a third-party service.
When you connect an account or system, you authorize the access and data exchange described in the product's connection flow and applicable terms. You are responsible for having authority to grant that access and for reviewing the permissions you provide. A connection to a third-party service does not make PrepStack responsible for that provider's independent service or for information the provider supplies.
10. Fees and product-specific payment terms
Some services or features may require payment. The price, billing period, subscription renewal, taxes, cancellation, refunds and any service-level commitment will be shown in the applicable product terms, subscription offer, checkout or signed agreement. Review those details before placing an order or subscribing.
These common Terms do not create a fee, automatic renewal, cancellation charge, refund right or service-level guarantee that is not stated in the applicable product terms or agreement. A payment provider may separately apply its terms to payment processing.
11. Service availability and changes
We work to operate useful and secure services, but access may be interrupted by maintenance, updates, connectivity problems, third-party providers, security issues or events outside our reasonable control. We do not promise uninterrupted or error-free operation unless a written product-specific agreement says otherwise.
We may add, change, suspend or discontinue a feature for security, legal, operational or business reasons. Where practical, we will give notice of a material change that affects your use. If a separate agreement sets a service level or requires a particular notice, that agreement applies to the service it covers.
12. Suspension and termination
You may stop using a service and close an account using the available account controls or the process stated in its product-specific terms. An organization account owner may request closure of the organization's workspace. Removing an individual user does not necessarily close the organization account or delete information the organization controls.
We may restrict, suspend or end access when reasonably necessary to address a material breach of these Terms, suspected fraud or unlawful activity, a security risk, an overdue payment governed by applicable product terms, a legal requirement, or a risk of harm to a user, customer or service. Where practical and lawful, we will give notice and an opportunity to address the issue. A suspension or termination does not remove rights or obligations that arose before it, including obligations relating to an order, payment, confidentiality, intellectual property or applicable law.
Access to information after termination, export options and deletion or retention are described in the applicable product terms and Privacy Policy. You should use available export features before closing an account where you need a copy of information.
13. Warranties and responsibility
We will provide the services with the care required by applicable law and any written product-specific agreement. Except for rights or warranties that cannot lawfully be excluded, services are provided as available. We do not guarantee that a service will meet every need, that information from a connected provider will always be current or complete, or that AI-generated information will be accurate or achieve a particular outcome.
Each party remains responsible for obligations and loss for which it is responsible under applicable law. Nothing in these Terms excludes or limits liability, a consumer right or a remedy that cannot lawfully be excluded or limited. To the extent permitted by law, neither party is responsible to the other for indirect or remote loss that was not reasonably foreseeable when the relevant agreement was made. Any product-specific allocation or cap on liability applies only if it is included in the applicable product terms or written agreement and is lawful.
14. Disputes and governing law
These Terms are governed by the laws of Uganda, subject to any mandatory law that applies to you and cannot be waived by agreement. We encourage you to contact us first so we can try to resolve a concern. If it is not resolved, a dispute may be brought before a court in Uganda with jurisdiction over it, without removing any mandatory right to bring a claim in another competent forum.
15. Changes to these Terms
We may update these Terms to reflect changes to our services, business or applicable law. The “Last updated” date identifies the most recent revision. For a material change, we will provide notice through the relevant service, by email or by another reasonable method before it takes effect where required by law or an applicable agreement. If a change requires renewed acceptance, we will request it.
The updated Terms will apply from their stated effective date and will not retrospectively remove a right or change an obligation that already arose under an earlier order or agreement. If you do not agree, stop using the affected service and follow its cancellation process; obligations relating to an existing order, payment or agreement continue to apply.
16. General terms
If a court or competent authority finds a provision unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision is not a waiver of that provision. You may not transfer your rights or obligations under these Terms without our written consent, except where applicable law permits otherwise. We may transfer these Terms as part of a reorganisation or transfer of the relevant service, subject to applicable law.
These Terms, together with the product-specific terms and agreements that apply to your use, describe the agreement for the subjects they cover. If documents conflict, the order of priority in Section 1 applies. Nothing in these Terms creates an employment, partnership, joint venture or agency relationship between you and PrepStack.
17. Contact
Questions or complaints about these Terms can be sent to customer@prepiq.net (confirm that this mailbox is monitored for company-wide legal requests) or by telephone at +256 709 802 259.

Internal publication checks — remove this section before publishing
- Confirm the contracting entity, company registration and service address against official company records.
- Confirm which PrepStack-operated products and markets these Terms cover. Publish each product supplement alongside these Terms and make the correct terms available before account creation, orders, integration authorization or payment.
- Verify that each acceptance flow presents the applicable terms for review before the user accepts, and records the version, time and acceptance event where appropriate.
- Reconcile shared provisions with the current PrepOrder Terms of Service, Restaurant Terms and refund/cancellation policy, and the PrepIQ Terms of Service, subscription offers and any Data Processing Agreement. The live PrepIQ Terms name PrepIQ as the operator and specify California law and San Francisco courts, while this draft identifies a different operator for confirmation and proposes Ugandan law. Decide with company records and qualified counsel whether PrepIQ remains a product-specific exception or its terms should be harmonized before publishing either document. Keep seller, payment, restaurant, business-data and service-level responsibilities in their product-specific documents.
- Confirm the scope of the content license, AI-provider processing and use of submitted information. Do not publish a broader permission than the actual product practices and privacy notices support.
- Have qualified Ugandan counsel review consumer rights, electronic acceptance, liability wording, governing law, dispute forum and any additional country-specific terms before setting the effective date.
